User Conduct and Terms

1. Introduction

Kineract LLC ("we," "us," or "our") provides its website, products, and services (collectively, the "Services") subject to these Terms and Conditions (the "Terms"). By accessing or using the Services, the user acknowledges and warrants to be legally bound by all provisions contained herein. Your use of the Services constitutes the formation of a legally enforceable contract. If you do not agree to these Terms in their entirety, you must cease use of our Services immediately.

2. Acceptance and Eligibility

Our Services are strictly intended for individuals who have reached the age of majority in their region. By using the Services, you automatically certify that you meet this age requirement and have the legal standing to agree to this contract. We reserve the right to verify your age and capacity to contract.

3. Account Creation and Security

Certain features of the Services may require you to create an account. When you register:

  • You agree to provide accurate, current, and complete information during registration and to update this information as needed to maintain its accuracy.
  • You are responsible for maintaining the confidentiality of your account credentials (username, password, etc.) and for all activities that occur under your account.
  • You agree to notify us immediately of any unauthorized use, suspected breach, or any other security incident related to your account.
  • We reserve the right to suspend, disable, or delete your account without notice if we suspect any fraudulent or unauthorized use.

You acknowledge that Kineract LLC cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Intellectual Property

Company Ownership
All ownership rights, title, and interest in the Services and all associated content, including software, design, and graphics, are vested exclusively in Kineract LLC and its licensors. Reproduction, modification, public distribution, sale, or sublicensing of any portion of the Services is strictly prohibited without explicit written authorization.

User Content License
You retain ownership of all intellectual property rights in your user-generated content (UGC). However, to allow us to operate the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process your UGC as necessary, as stipulated in the following provisions.

5. User Conduct and Compliance

Users must ensure that their use of the Services complies with all applicable legal, regulatory, and ethical standards. Any misuse, unauthorized access, or action that compromises data integrity, confidentiality, or system security constitutes a material breach of this Agreement.

6. Fees and Payment

Your membership subscription starts immediately upon registration and renews automatically every 30 days at $39.99 unless cancelled. Pricing details and billing information are provided during sign-up and included in your welcome email. By subscribing, you consent to recurring monthly billing.

If a payment attempt fails, discounted rates or additional administrative fees may apply. You are solely responsible for internet access and related charges. Kineract LLC shall not be liable for external payment processing failures.

Where a recurring subscription payment cannot be processed, Kineract LLC may attempt discounted payment amounts to avoid interruption of the Service. An administrative fee of up to $3.00 may also apply until a successful payment is received.

Refund Policy
Refunds, if any, will be governed by our Refund Policy. Any eligible refunds will be credited back to the original payment method within 14 days. Cancellation and refund policies are subject to applicable statutory consumer protections.

7. Suspension and Termination

We may, in our discretion, limit, suspend, or end your access to the Services if these Terms are violated or to comply with legal or operational requirements. You may close your account at any time by giving us at least thirty (30) days' notice.

8. Warranty Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law:

  • We make no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or harmful components.
  • We disclaim all liability for any inaccuracies, errors, or omissions in the content or operation of the Services.

You acknowledge that your use of the Services is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kineract LLC, its officers, directors, employees, or agents be liable for:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use or inability to use the Services, including lost profits, data loss, or business interruption.
  • Any damages resulting from unauthorized access to or alteration of your transmissions or data.
  • Any failure or delay in the performance of the Services.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you have paid us in the 12 months prior to the claim.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of United States of America, without regard to its conflicts of law principles.

Any dispute, claim, or controversy arising out of or in connection with these Terms, including the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction and venue of the courts located within United States of America. You hereby consent and submit to the personal jurisdiction of such courts.

11. Changes to Terms

Kineract LLC may revise or amend these Terms as required to comply with applicable laws, regulations, or operational needs. Any updates will be communicated through appropriate channels and shall take effect upon publication. Users are encouraged to review this Agreement periodically to remain informed of any modifications.
